Provider Services Agreement

1. Parties & nature of relationship
This Provider Services Agreement is between Korima Transportation ("Korima") and the independent transportation provider ("Provider") whose application Korima has approved. The contractual relationship is between Provider and Korima for fulfillment of rides Korima dispatches on behalf of its facility members. Provider has no direct contractual relationship with any facility or resident.
2. Independent contractor
Provider is an independent contractor, not an employee of Korima. Provider is solely responsible for the operation of its vehicles, employment of any drivers it engages, compliance with all applicable laws and regulations, and payment of its own taxes.
3. Ride acceptance
Korima dispatches rides to qualified Providers by email and through the provider dashboard. Provider may accept or decline any offer. The first Provider to accept an offer is awarded the ride. Provider must update ride status in real time (en route, arrived, completed) so facility staff receive timely notifications.
4. Compensation structure (cost reimbursement)
Provider acknowledges that all compensation received under this Agreement constitutes reimbursement for the costs of providing transportation services, including but not limited to:
- Mileage reimbursement at the current IRS standard mileage rate ($0.70 per mile as of 2026), updated each January.
- Time reimbursement at an hourly rate of $20.00.
- Documented additional costs (parking, tolls) when applicable.
Provider acknowledges and agrees that:
- The compensation provided does not constitute profit above costs.
- Provider's earnings are derived from volume and operational efficiency, not per-trip profit margins.
- This compensation structure is designed to comply with Texas Occupations Code Section 2402.001 exemptions for cost-reimbursement transportation services.
- Provider is responsible for all vehicle operating costs, insurance, maintenance, and any other costs of providing transportation services.
- Provider is an independent contractor, not an employee of Korima.
Reimbursements are issued weekly on Fridays via Provider's chosen method (Venmo, Zelle, or check). Facility membership fees and platform coordination fees are retained by Korima and not shared with Provider.
5. Insurance & licensing
Provider warrants that it carries commercial auto liability insurance with limits meeting or exceeding state requirements for non-emergency medical transportation, and that all drivers hold current, valid licenses. Provider shall furnish proof of coverage on request.
6. Standard of service
- Arrive at scheduled pickup time, allowing reasonable buffer.
- Treat all residents with dignity and respect.
- Provide assistance entering and exiting the vehicle when requested.
- Maintain vehicles in clean, safe, mechanical operating condition.
- Decline any ride Provider cannot safely or lawfully complete.
7. Confidentiality
Provider may receive limited resident information needed to complete each ride (name, addresses, mobility requirements). Provider shall use this information solely to perform the ride and shall not disclose it, sell it, or retain it longer than necessary. Provider shall comply with reasonable security practices.
8. Non-solicitation & non-circumvention
Provider agrees that, for any healthcare facility introduced to Provider through the Korima platform, Provider will route all transportation coordination, bookings, and payment for that facility through the Korima platform for a period of eighteen (18) months from the date of first introduction, and will not solicit that facility to arrange transportation services directly outside the platform during that period. This provision does not apply to any facility relationship that existed prior to introduction through Korima and that Provider can document as pre-existing. Violation of this provision may result in suspension or termination of Provider's account and may result in Korima seeking payment of coordination fees that would have been earned on circumvented bookings.
9. Termination
Either party may terminate this Agreement at any time with 14 days' written notice. Korima may suspend Provider immediately for safety violations, missed rides, or breach (including breach of Section 8).
10. Indemnification
Provider shall indemnify and hold Korima harmless from any claim arising from Provider's operation of its vehicles, conduct of its drivers, or breach of this Agreement. Korima carries no liability for the acts or omissions of Provider.
